ALL DISPUTES WILL BE RESOLVED SOLELY BY BINDING ARBITRATION AND ENTRANTS WAIVE THE ABILITY TO BRING CLAIMS IN A CLASS ACTION FORMAT.

The LeadingResponse E-Gift Card Raffle (the “Raffle”) is sponsored by RME, LLC D.B.A. LeadingResponse (“Sponsor”). Information on how to enter and prizes form part of these official rules (“Official Rules”). By submitting an Entry (defined below), each entrant: (i) agrees unconditionally to the Official Rules; (ii) warrants that the Entry complies with all requirements set out in the Official Rules; and (iii) agrees unconditionally with Sponsor’s decisions, which are final and binding in all matters related to the Raffle. This is a chance-based contest and skill plays no part in the determination of winners.

1. TERM

The Raffle begins at 12:00:00 AM Eastern Time (“ET”) on May 20, 2024 and ends at 11:59:59 PM ET on July 5, 2024 (the “Raffle Submission Period”).  Sponsor’s computer is the official time keeping device for this Raffle.

2. WHO MAY ENTER

Employees, officers and directors of Sponsor, or any of its or their respective parent companies, subsidiaries, affiliates, representatives, consultants, contractors, legal counsel, public relations, advertising and promotion agencies, fulfillment, website providers, web masters and anyone involved in the production or administration of the Raffle (collectively, the “Raffle Entities”) are not eligible to enter or win. Must be 18 years or older to enter. Void outside the fifty (50) United States and the District of Columbia, and where prohibited by law.

3. HOW TO ENTER

During the Raffle Period, the Sponsor will be accepting submissions to the Raffle via a dedicated link that will be available to entrants who complete a survey made available through Sponsor’s LinkedIn social media account (the “Survey”). To enter, eligible participants must complete the Survey and submit the Raffle entry form including the entrant’s first and last name, email address, and phone number (“Entry”). Entrant may only complete one Survey. Limit one (1) Entry per person.

Entrant must answer all questions set forth in the Survey and provide all required information requested on the Raffle form to submit an Entry. Normal Internet, phone, and usage charges imposed by your online or phone service may apply. Incomplete, illegible, corrupted, or untimely Entries are void and will be disqualified. Entries will not be acknowledged or returned.

4. USAGE RIGHTS IN ENTRIES

Entrant hereby grants to Sponsor and its designees an irrevocable, perpetual, worldwide non-exclusive, royalty free license to copy, publish, perform, broadcast, reproduce, distribute, display, sublicense, create derivative works, and otherwise use entrant’s answers provided through the Survey and information included in the Entry for Sponsor’s business purposes without any additional consideration or approval from you.

5. WINNERS

There will be four (4) winners of the Raffle, and one (1) winner will be chosen at random each week during the Raffle Submission Period. The winners will be notified within seven (7) days of the Raffle Submission Period ends. The winners will be chosen in a random drawing and will be notified by phone and/or email.

Potential winners must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. If a potential winner of the prize is disqualified or cannot be contacted, fails to respond to the attempt to notify him/her of the prize within ten (10) days, or if the prize is returned as undeliverable, such potential winner forfeits the prize and another Entry will be selected by random drawing among all remaining eligible Entries as an alternate potential winner. Winning a prize is contingent upon fulfilling all requirements set forth in these Official Rules. A POTENTIAL WINNER IS SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE RAFFLE. AN ENTRANT IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.

6. CONTEST PRIZES CONSUMER DISCLOSURE

Prizes: Four (4) Amazon e-gift cards worth $250 USD each.

All prizes are non-transferable, not redeemable for cash, and void after expiration date. If, by reason of a print or other error, more prizes are claimed than the number set forth in these Official Rules, an alternate winner will be randomly selected from among all eligible claimants making purportedly valid claims to award the advertised number of prizes available.

7. CONDITIONS

THIS RAFFLE IS VOID WHERE PROHIBITED. Entries void and the entrant may be disqualified if Sponsor determines the Entry is illegible, incomplete, damaged, irregular, altered, counterfeit, produced in error or obtained through fraud or theft (including any attempt by any entrant to obtain more than the permitted number of entries by using multiple and/or different identities, forms, registrations, addresses or any other method). Multiple entrants are not permitted to share the same email address.

Entries must be received by the end of the Raffle Submission Period. In the event of a dispute as to the identity of an entrant, the authorized account holder of the email address used to enter will be deemed to be the entrant or participant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider, Internet service provider, or other organization (which may include an employer) responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder. Entries specifying an invalid, non-working, or inactive email address will be disqualified and ineligible to win.

All federal, state/provincial/territorial and local taxes, fees and surcharges and taxes (whether foreign or domestic, and including income, sales, and import taxes) on prizes are the sole responsibility of the prize winners.

Sponsor reserves the right to disqualify any entrant who submits an Entry that is not in accordance with these Official Rules or acts in an unsportsmanlike or disruptive manner, as solely determined by Sponsor. All disqualified entrants’ Entries will be void.

Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Neither Sponsor nor anyone acting on its behalf will enter into any communications with any entrant regarding this Raffle, except as expressly set forth in these Official Rules.

8. LIMITATION OF LIABILITY AND WAIVERS (CLASS ACTION AND EQUITABLE RELIEF)

BY ENTERING THE RAFFLE, ENTRANT AGREES TO INDEMNIFY, DEFEND, AND HOLD HARMLESS SPONSOR AND ITS AFFILIATES AND SUBSIDIARY COMPANIES, CONSULTANTS, WEBSITE PROVIDERS, LEGAL COUNSEL, FULFILLMENT AND MARKETING, PUBLIC RELATIONS, PROMOTIONAL AND ADVERTISING AND CONTEST AGENCIES AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES AND ASSIGNS (COLLECTIVELY, THE “RELEASED PARTIES”) AGAINST ANY LIABILITY FOR INJURIES, LOSSES OR DAMAGES OF ANY KIND TO PERSONS, INCLUDING PERSONAL INJURY OR DEATH, OR PROPERTY CAUSED OR RESULTING, IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM ACCEPTANCE, POSSESSION, MISUSE, OR USE OF THE PRIZE, ENTRY, OR PARTICIPATION IN THE RAFFLE, ANY RAFFLE-RELATED ACTIVITY, OR BY ACCEPTANCE OR USE OF A PRIZE, OR ANY CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION OR INVASION OF PRIVACY, OR MERCHANDISE DELIVERY.

Entrant hereby acknowledges that Released Parties are not responsible for:

• lost, late, incomplete, damaged, stolen, misdirected, delayed, inaccurate, garbled, or illegible Entries;
• inaccurate transmissions of or failure to receive Entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any Web site or any combination thereof or for any other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Raffle, including, without limitation, errors or difficulties which may occur in connection with the administration of the Raffle or the announcement of the prizes;
• other errors or malfunctions of any kind, whether human, mechanical, electronic or otherwise;
• changes or effects caused to entrant’s computer system as a result of submitting an Entry;
• cancellations, delays, or interruptions of the Raffle due to Acts of God, acts of war, natural disasters, weather, or terrorism;
• any incorrect or inaccurate information, whether caused by printing errors, site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Raffle; and
• any injuries, damages, or losses of any kind, including direct, indirect, incidental, consequential, or punitive damages to persons, including death, or to property arising out of access to and use of any website associated with this Raffle or the downloading from and/or printing material downloaded from such site.

BY PARTICIPATING, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (i) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE RAFFLE, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (ii) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (iii) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (iv) ENTRANTS’  REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF.

9. RIGHT TO CANCEL OR SUSPEND RAFFLE

If for any reason the Raffle is not capable of running as planned, due to infection by computer virus, bugs, worms, trojan horses, denial of service attacks, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor that corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Raffle, Sponsor reserves the right, at its sole discretion, to disqualify any individual(s) who tamper with the entry process, and/or to cancel, terminate, modify, or suspend the Raffle. If Sponsor elects to cancel or terminate the Raffle, Sponsor will not retain any rights in the Entries.

ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS RAFFLE OR UNDERMINE THE LEGITIMATE OPERATION OF THE RAFFLE MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAW, AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

10. DATA PRIVACY

Entrants agree that personal data, especially name and address, may be processed, shared, and otherwise used for the purposes and within the context of the Raffle and any other purposes outlined in these Official Rules, including to contact winners of the Raffle. The data may also be used by Sponsor in order to verify the entrant’s identity, postal address, and telephone number or to otherwise verify the entrant’s eligibility to participate in the Raffle. Participants have the right to access, review, rectify, or cancel any personal data held by Sponsor by writing to Sponsor at Attn: Legal Department, 36181 East Lake Road, #124, Palm Harbor, FL, 34685. Personal data will be used by Sponsor and its affiliates exclusively for the purposes stated in these Official Rules and as otherwise set forth in Sponsor’s Privacy Policy found at https://leadingresponse.com/privacy-policy/.

11. DISPUTES

Entrant and Sponsor each agree to finally settle all disputes only through arbitration; provided, however, the Released Parties shall be entitled to seek injunctive or equitable relief in the state and federal courts with jurisdiction in Palm Harbor, Florida and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury and review is limited. The arbitrator’s decision and award are final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. Sponsor and entrant agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Raffle shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS. If an in-person hearing is required, then it will take place in Palm Harbor, Florida. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate does not apply and the dispute must be brought in a court of competent jurisdiction in Palm Harbor, Florida. Sponsor agrees to pay the administrative and arbitrator’s fees in order to conduct the arbitration (but specifically excluding any travel or other costs of entrant to attend the arbitration hearing).
